Gearbulk has increased its new build order book to six vessels with the recent addition of two open hatch vessels scheduled for delivery in 2028-2029.
On August 19, 2024, Gearbulk Holding AG, a European dry bulk shipping company headquartered in Switzerland, announced the order of two additional 82,300 DWT open hatch vessels. This follows an earlier order placed in April 2024 for four similar vessels, including two options, with CSSC Huangpu Wenchong Shipbuilding in China. With this latest order, Gearbulk’s new build order book for this class of vessel now stands at a maximum of six units.

■Gearbulk Expands Fleet with New “PulpMax” Vessels, Set for 2028-2029 Delivery
Gearbulk, which operates a fleet of approximately 65 vessels, primarily consisting of open hatch carriers, has placed an additional order for two “PulpMax” vessels. These vessels are specifically designed to maximize the efficiency of transporting pulp, a raw material used in paper production. The delivery of these two new buildings is scheduled between October 2028 and January 2029.
Gearbulk is co-owned by Grieg Maritime Group of Norway, with which it jointly operates G2 Ocean, a leading open hatch shipping company. Currently, Mitsui O.S.K. Lines (MOL) holds a 49% stake in Gearbulk. However, by January 2025, MOL plans to increase its shareholding to 72%, thereby making Gearbulk a consolidated subsidiary.
The newly ordered “PulpMax” vessels will join the G2 Ocean fleet, further enhancing its capacity. These ships will have a length of 225 meters and a beam of 36 meters, featuring eight cargo holds. They will be equipped with four deck cranes, two with a lifting capacity of 75 tons and two with a capacity of 120 tons. The design of these vessels includes provisions for future conversion to alternative fuels such as ammonia or methanol, with space allocated next to the living quarters for additional fuel tanks.
■G2 Ocean’s Fleet Expands to 120 Vessels, Specializing in Pulp and Paper Transport
G2 Ocean, which operates a fleet of around 120 vessels, including both open hatch carriers and conventional bulk carriers, continues to strengthen its capabilities in transporting pulp, paper products, forestry products, aluminum, and steel. Grieg Maritime Group has also placed an order with CSSC Huangpu Wenchong for four 82,300 DWT open hatch vessels, due for delivery in 2026. Combined with Gearbulk’s recent orders, G2 Ocean’s order book now totals up to 10 new builds.
■Mitsui O.S.K. Lines to Consolidate Gearbulk as a Subsidiary
On June 25, 2024, Mitsui O.S.K. Lines (MOL) announced its decision to consolidate Gearbulk Holding AG, headquartered in Switzerland, with Kristian Jebsen as CEO & Chairman, as a subsidiary. This decision follows a resolution by MOL’s Board of Directors and involves ongoing discussions with Halberton Holding Ltd, a current shareholder in Gearbulk.
MOL initially invested in Gearbulk in 1991, making it an affiliated company. After extensive negotiations with Halberton, MOL has decided to acquire a majority stake in Gearbulk, aiming to strengthen its dry bulk business further. Due to the significant size of Gearbulk’s capital relative to MOL, the company will be designated as a key subsidiary of MOL.
■Method of Consolidation
MOL plans to reorganize the operations of the Gearbulk Group by consolidating its open hatch business within Gearbulk while separating other businesses from the company. Following this restructuring, MOL will increase its voting rights in Gearbulk. Further details will be determined through continued negotiations with Halberton.

欧州のドライバルク船社ギアバルク（Gearbulk Holding AG、本社・スイス）は２０２４年８月19日、８万２３００重量㌧型オープンハッチ船２隻を追加発注したと発表した。ギアバルクは２０２４年４月に同型船４隻（オプション２隻含む）を中国の中船黄埔文冲船舶（CSSC Huangpu Wenchong Shipbuilding ）に発注済み。今回の発注により、ギアバルクの同型船の新造発注残は最大６隻になった。
ギアバルクはオープンハッチ船を中心に約65隻を保有する。ノルウェー船主グリーグ・マリタイム・グループ(Grieg Maritime Group)と共同でＧ２オーシャンを運営している。
現在、商船三井はギアバルクに49％出資している。商船三井は２０２５年１月をめどにギアバルクへの出資比率を72％に高め連結子会社化する予定である。
ギアバルクが追加発注した２隻は「パルプマックス」型と呼ばれ、紙の原料となるパルプの輸送効率を追求した船型である。
今回、ギアバルクが発注した２隻の新造船の竣工は２０２８年10月から29年１月である。今回の２隻の新造船はギアバルクがパートナーと運営するオープンハッチ船社Ｇ２オーシャンの船隊に加わる。
新造船は全長２２５㍍、幅36㍍で、貨物倉は８つ。船上にジブクレーン４基（75㌧吊りと１２０㌧吊り各２基）を備える。アンモニアやメタノールに燃料を転換することも想定した設計を採用する。居住区の横に代替燃料用タンクの設置スペースも確保している。
Ｇ２オーシャンの運航船隊はオープンハッチ船と在来型のバルカーを合わせて120隻規模である。Ｇ２オーシャンはパルプや紙製品、林産品、アルミニウム、鋼材などの輸送を得意としている。
グリーグ・マリタイムは中船黄埔文冲に82型オープンハッチ船４隻を26年納期で発注している。ギアバルクの発注分と合わせ、Ｇ２オーシャンとしての発注残は最大10隻になった模様だ。
■商船三井はギアバルクを連結子会社化する。
商船三井は2024 年６月 25 日開催の取締役会において、Gearbulk Holding AG（本社・スイス、Kristian Jebsen, CEO & Chairman）を連結子会社とすることを決議した。商船三井はGearbulk 社の株主である Halberton Holding Ltdとの間で、本件に関する具体的な条件などについて協議を進めている。
商船三井は1991 年にギアバルクに資本参加し、商船三井の持分法適用関連会社（Affiliated company）とした。
商船三井はギアバルクの株主であるHalberton と協議を重ね、商船三井のドライバルク事業の更なる強化を目指し、Gearbulk を商船三井の連結子会社とすることを決定した。
Gearbulk の資本金の額は商船三井の資本金の額の 100 分の 10 以上に相当するため、ギアバルクは商船三井の特定子会社に該当する。

商船三井は、Gearbulk グループが運営する事業を再編し、オープンハッチ事業を Gearbulk へ集約し、同時にその他の事業のGearbulk 社からの分離などを実施した上で、Gearbulk 社に対する議決権所有割合を引き上げる。詳細については、商船三井は引き続き Halberton 社と協議の上、決定する予定である。
